영문 업무제휴계약서

CONSORTIUM AGREE
역할 분담에 의한 공동 수주 및 계약이행을 위한 제휴관계의 한 형태로서 각 project별 제휴관계이긴 하나, 적어도 당해 Project의 공동이행을 위한 구체적 약속인 만큼 그 제휴의 강도는 매우 강하다고 볼수 있음. 역할 및 기능의 분담에 의한 업무제휴라는 측면에서 Cooperation Agreement와 크게 유사하다고도 볼수 있으나, 개별 project에 관한 구체적 약속이란 점에서 차이가 있음.

1. Preamble
The aforementioned companies have decided to jointly process the project for the building of a (rotation deinking plant for OOOOOO Co. Ltd., Seoul/Korea (hereinafter called Customer) on an excluive basis. Based on the quotations worked out by the ABC/XYZ companies and submitted to the customer, a contract for the delivery of the aforementioned plant (flotation deinking plant xxxxxx Mill) as well as for services (erection, supervision/startup) bearing the code word x xx xxx DIP I has been concluded between the customer and ABC/XYZ This contract took effect beginning with the receipt of the down payment and the opening of the L/C. The handling is carried out with reference to the code word xxxxxx DIP I.
The consortium consists of

ABC GmbH, Heidenheim
(hereinafter called Members ) 이상의 Preamble은 영문계약서에서 통상적으로 말하는 WHERE AS조항에 해당되는 것으로 봄. 국제계약의 대상이 되는 국제간 거래가 날로 다양화, 다변화됨에 따라 이들에 관한 영문계약서의 형식이나 표현도 크게 다양해짐을 알수 있음. |
